Spirit Pay Terms of Service

Effective Date: February 20, 2025

These Terms govern your use of the Spirit Pay platform, operated by Skybound Solutions LLC (“Skybound,” “we,” “our”). By using Spirit Pay or engaging Skybound for Spirit Pay setup, you agree to these Terms.

1. What Spirit Pay Is

Spirit Pay is an iPad-based point-of-sale platform for school concession stands and booster organizations. It enables organizations to accept card and cash payments at events using a Stripe M2 card reader and an iOS application. Spirit Pay connects your organization to the Stripe payment network via Stripe Connect, allowing card payments to be processed and funds to be deposited into your Stripe account, which then pays out to your bank on Stripe's standard schedule.

Skybound is the platform operator. We are not a payment processor, merchant of record, or financial institution.

2. Stripe Connect & User Agreement

Spirit Pay uses Stripe Connect to process payments on your behalf. Your organization must create and maintain a Stripe account and connect it to Spirit Pay via Stripe's OAuth flow.

By connecting your Stripe account to Spirit Pay, you explicitly agree to:

  • Stripe's Connected Account Agreement (stripe.com/legal/connect-account)
  • Stripe's Services Agreement (stripe.com/legal/ssa)
  • That Skybound may collect a platform fee on each transaction (see Section 4)
  • That Skybound may access your connected Stripe account data as necessary to provide the Spirit Pay service

3. Setup Fee

A one-time setup fee (starting at $99; exact amount agreed upon in writing before work begins) covers platform configuration, hardware pairing, menu setup, and go-live support. Setup fees are non-refundable once setup work has commenced.

4. Platform Fee

Skybound collects a platform fee of 2.3% per card transaction via Stripe's application_fee_amount mechanism. This fee is automatically deducted from each transaction before funds are transferred to your Stripe account.

The total customer-facing fee (currently 5% + $0.05 per transaction) is set at the point of sale and covers both Stripe's processing costs and the Skybound platform fee. This fee is paid by the customer at checkout — it is not deducted from your organization's proceeds.

Fee changes to the platform fee rate require at least 30 days advance written notice. Continued use of Spirit Pay after notice constitutes acceptance.

5. Refunds & Disputes

Your organization is responsible for managing refunds and disputes with your customers. Refunds can be initiated through Spirit Pay or directly in your Stripe dashboard. Stripe's standard chargeback process applies to all card transactions.

Skybound does not adjudicate disputes between your organization and its customers. Processing fees are not refunded on reversed transactions, consistent with Stripe's standard policy.

6. Connected Account Data Access

By connecting your Stripe account, you authorize Skybound to access your connected Stripe account data (including transaction history, payout status, and account identifiers) solely as necessary to operate Spirit Pay, provide reporting, and calculate platform fees. We do not use this data for any other purpose. See the Spirit Pay Privacy Policy for full details.

7. Your Responsibilities

  • Maintain a valid Stripe connected account in good standing
  • Use Spirit Pay only for lawful sales to your customers
  • Accurately represent pricing to customers at checkout
  • Comply with applicable state and local sales tax laws
  • Safeguard access to the Spirit Pay iPad application
  • Promptly notify Skybound of any unauthorized access or suspected misuse

8. No Subscription or Long-Term Commitment

Spirit Pay has no minimum commitment, recurring subscription, or cancellation fee. You may disconnect your Stripe account from Spirit Pay at any time. Setup fees already paid are non-refundable as described in Section 3.

9. Limitation of Liability

To the maximum extent permitted by law, Skybound's total liability arising from Spirit Pay shall not exceed the setup fee paid by your organization in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages including lost revenue or data loss.

10. Governing Law

These Terms are governed by the laws of the State of Michigan. Disputes shall be resolved in the courts of Sanilac County, Michigan.
