Terms of Service
Effective Date: February 20, 2025
1. Agreement
By engaging Skybound Solutions LLC (“Skybound,” “we,” “our”) for consulting, development, or any other service, or by using skyboundmi.com, you agree to these Terms.
2. Services
Skybound provides AI consulting, custom software development, and related professional services. Specific scope, deliverables, and timelines are defined in individual statements of work or engagement agreements agreed upon before work begins.
3. Spirit Pay
Spirit Pay is a separate product with its own terms. If you use Spirit Pay, you are subject to the Spirit Pay Terms of Service in addition to these Terms.
4. Payment & Fees
Fees for consulting and development services are agreed upon in writing before work commences. Deposits and milestone payments are non-refundable once the corresponding work has been completed. Invoices are due within 15 days of issuance unless otherwise agreed.
5. Intellectual Property
Upon full payment, clients receive ownership of custom deliverables created specifically for their engagement, as defined in the statement of work. Skybound retains ownership of general frameworks, tools, and methodologies developed independently.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during an engagement. This obligation survives termination of the engagement.
7. Limitation of Liability
To the maximum extent permitted by law, Skybound's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 90 days preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Governing Law
These Terms are governed by the laws of the State of Michigan. Disputes shall be resolved in the courts of Sanilac County, Michigan.
9. Changes
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance.
